COURS 1 :

Description : This course analyzes the basic concepts, rules, practices and institutions of international trade regulation. The focus would be on the World Trade Organization (WTO) rules and practice, as well as associated Chinese laws and practices. Special attention will be given to comparing WTO rules and China’s obligations on one hand, and to China’s trade laws, on the other hand, which include: export and import controls, market access, origin rules for services, the interplay between China’s international obligations and domestic legal system, and remedies against dumping, subsidies, and unfair trade practices. The course also studies other trade arrangements involving China, including regional integration (e.g., China-ASEAN Agreement on Trade in Services) and domestic arrangements (e.g. Mainland-Hong Kong Closer Economic Partnership Arrangement). The course consists of lectures and seminars. Students may participate in simulations (e.g., responding to client inquiries arising from WTO and other disputes involving China), or make a presentation. The course will provide a solid foundation for lawyers and business people who handle with trade regulation involving China.

COURS 2 :
Cote et titre du cours : China Company Law
Description : Course focuses on Chinese Company Law (particularly limited liability companies and Joint Stock Companies in China). Chinese Company Law appears to be the near-equivalent to Droit D’entereprise at University of Ottawa. The course begins with an analysis of the nature of Chinese companies, particularly an examination of what is a company and what is an incorporation. This section will also review some of the history and development of companies and related laws in China. Following this section, the class will discuss the constitution of companies in China; particularly the relevant laws of constitution, a description of what is a company’s constitution, and what are the effects of a constitution. Then the course will then discuss shares and shareholder rights (nature of shares, what is a shareholder under Chinese company law, and the rights of shareholders). The next section deals with derivative actions under Chinese company law. Following this, the course will examine the steps and formalities necessary to set up a limited liability company or joint stock company. The next section deals with mergers and acquisitions. The final part of the semester will deal with director duties under Chinese company law (i.e. corporate governance structures), Capital maintenance (i.e. rules of capital maintenance, differences between shareholders and bondholders, share buybacks), and bankruptcy of companies (relevant laws).

Description : Contract law is a course about how the law shapes and governs obligations entered into among people (natural and legal persons) regarding their personal and property rights. This course focuses on Law of Obligations. Students are encouraged to develop an understanding of the crucial role contract law has played and continues to play in the development and maintenance of our legal and economic systems. It considers rules affecting both personal and real property. Law of Obligations deals with the general provisions of an obligation and provides basic theories and rules for tort and contract.

This is a general introductory course designed for overseas students who start to learn Chinese law. It provides several aspects of Chinese legal system for learners to build up a foundation which can make them to have some basic understanding of Chinese legal culture. Background studies may be crucial to students who have never been to a jurisdiction like China. The course covers historical development of Chinese legal system, legislative process of contemporary Chinese law, and the court system of China. Furthermore, students can choose either to have Chinese criminal law and procedures or civil and commercial law and procedures or both, if they are interested.

Description : This course examines the legal framework of private international business transactions involving China, including: the international sale of goods; bills of lading; letters of credit; trade in services; and forms and regulation of foreign direct investment. These topics are considered generally and in specific Chinese rules and practices (including judicial interpretations, and selected arbitration cases). Students may be assigned to small groups that will be responsible for considering and answering questions about a narrowly defined international business law problem, or for responding to client inquiries and to negotiate and draft key clauses of a joint venture contract and other documents. The course consists of lectures and seminars, and students may participate in simulations or make a presentation. The course will provide a solid foundation for lawyers and business people who are to do business globally and in China.
