This procedure outlines the process and responsibilities to recruit and re-appointment certain members of the Board of Governors. Members are appointed and renewed on the recommendation of the Committee on Governance and Nominating.
As per the Board Bylaw No.1 (2019), Article 2.2, these members are:
- eight (8) individuals shall be appointed based on nominations made by the Committee on Governance and Nominating;
- eight (8) individuals who shall be appointed by the Board of Governors of Saint Paul University.
The Committee on Governance and Nominating does not oversee the nomination of the following members, as they are either elected by their respective constituency group or directly approved by the Board of Governors:
- two undergraduate students and one graduate student
- two staff and two faculty members
- four members appointed by the Lieutenant Governor of Ontario
- two members appointed by the Alumni Association
- two members appointed by the University of Ottawa Senate
As per Article 9.1 of the University of Ottawa Board Bylaw No.1 (2019), the Committee on Governance and Nominating recommends to Saint-Paul University and to the Board potential candidates for nomination to the Board.
As per Article 2.3 – Qualifications:
The following individuals are disqualified from being a Board Member:
(a) anyone who is less than 18 years of age;
(b) anyone who has been found under the Substitute Decisions Act, 1992 or under the Mental Health Act or other applicable law to be incapable of managing property;
(c) anyone who has been found to be incapable by any court in Canada or elsewhere;
(d) anyone who is not an individual;
(e) anyone who has the status of bankrupt.
Competencies
Board members are selected based on their qualifications, competencies, and experience. The Board of Governors is dedicated to fostering equity, diversity, and inclusion within its membership.
Candidates should exhibit proficiency, interest, and expertise in at least one, preferably more, as described in the competency matrix:
- Governance and experience as a member on a Board
- Accounting and finance
- Investments and pension plans
- Public relations and marketing, communications
- Fundraising and philanthropy
- Law
- Human resources and labor relations
- Engineering, architecture, and construction, property management
- International and government relations
- Postsecondary education
- Information management and information technology
- Healthcare
Selection Process
a) Establishment of a database of candidates:
The Secretary-General’s Office manages and maintains a database of potential candidates. These may be recommended by any members of the community including Board members, members of the senior administration of the University, Alumni, and community leaders.
Additionally, the University may engage a recruitment firm for assistance or undertake any other means deemed necessary to solicit candidates.
The database is reviewed regularly, at least once a year, to ensure that it is accurate and relevant.
b) Selection of candidates
The Committee on Governance and Nominating:
1. Reviews of the competency matrix to identify gaps in specific areas.
2. Identifies prospective individuals from the database of candidates.
3. The Chair meets with the chosen candidate to assess their competencies in the areas of expertise required to fulfill their fiduciary responsibilities and the needs of the Board.
4. The Chair provides a report to the Committee.
5. The Committee on Governance and Nominating recommends the candidates to the Board of Governors or to Saint-Paul University.
c) Re-Appointment of external Board members:
The Committee on Governance and Nominating recommends the re-appointment of members referred to in Article 2.2.
Before making a recommendation, the Committee on Governance and Nominating assesses the contributions and attendance of the member. The member whose term will be ending and is eligible for renewal, will complete a self-assessment questionnaire. The Committee will review the completed self-assessment, proceed with a general evaluation, and make a recommendation on re-appointment.
